Welcome to Healthting. These Terms of Service ("Terms") govern your access to and use of the Healthting platform, including our website, mobile applications, and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

  • "Platform" or "Healthting" refers to our healthcare management system and all related services.
  • "User", "You", or "Your" refers to any person or entity accessing the Service.
  • "Patient" refers to users seeking healthcare services through the Platform.
  • "Healthcare Provider" or "Doctor" refers to licensed medical professionals using the Platform.

2. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Eligibility

To use our Service, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using the Service under applicable laws

  • For Healthcare Providers: Hold valid professional licenses and credentials

You must create an account to access certain features of the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

4.2 Account Security

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must immediately notify us of any unauthorized access or security breach
  • We are not liable for any loss or damage arising from your failure to protect your account

4.3 Account Types

The Platform offers different account types (Patient, Healthcare Provider, Red Cross Organization). You must select the appropriate account type based on your intended use and provide all required verification information.

5. Use of the Service

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to:

  • Use the Service in compliance with all applicable laws and regulations
  • Respect the rights and dignity of other users
  • Maintain the confidentiality of sensitive health information
  • Provide accurate and truthful information

5.2 Prohibited Activities

You agree NOT to:

  • Impersonate any person or entity or misrepresent your credentials
  • Use the Service for any fraudulent or illegal purpose
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any portion of the Service
  • Use automated systems (bots, scrapers) without our permission
  • Transmit viruses, malware, or any harmful code

6. Healthcare Services and Medical Disclaimer

6.1 Platform as Facilitator

Healthting is a platform that facilitates connections between patients and healthcare providers. We do not provide medical advice, diagnosis, or treatment. All medical services are provided by independent licensed healthcare professionals.

6.2 Not a Substitute for Professional Medical Advice

The information provided through the Service, including AI-powered consultations, is for informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of qualified healthcare professionals with any questions you may have regarding a medical condition.

6.3 Emergency Services

The Service is not intended for emergency medical situations. If you are experiencing a medical emergency, immediately call your local emergency services or go to the nearest emergency room.

6.4 AI-Powered Features

Our AI-powered medical assistant is a supplementary tool designed to provide general health information. It is not a replacement for professional medical advice, and its recommendations should not be considered definitive diagnoses or treatment plans.

7. Healthcare Provider Responsibilities

Healthcare providers using the Platform agree to:

  • Maintain valid professional licenses and credentials in their jurisdiction
  • Provide accurate information about their qualifications and specialties
  • Comply with all applicable healthcare laws, regulations, and professional standards
  • Maintain appropriate professional liability insurance
  • Protect patient privacy and confidentiality in accordance with HIPAA and applicable laws
  • Provide services within their scope of practice and expertise
  • Maintain medical records in accordance with legal requirements
  • Report adverse events as required by law

8. Patient Responsibilities

Patients using the Platform agree to:

  • Provide accurate and complete medical history information
  • Inform healthcare providers of all medications, allergies, and medical conditions
  • Follow the treatment plans prescribed by healthcare providers
  • Attend scheduled appointments or cancel with appropriate notice
  • Pay for services as agreed
  • Respect healthcare providers' time and expertise

9. Appointments and Scheduling

9.1 Appointment Booking

Patients may request appointments through the Platform. Appointment requests are subject to healthcare provider availability and acceptance. Confirmation of an appointment creates a commitment between the patient and healthcare provider.

9.2 Cancellation Policy

Users should provide reasonable notice when canceling appointments. Healthcare providers may establish their own cancellation policies, including potential fees for late cancellations or no-shows.

9.3 Rescheduling

Either party may request to reschedule an appointment. Both parties should make reasonable efforts to accommodate rescheduling requests.

10. Payments and Fees

10.1 Service Fees

Healthcare providers may charge fees for their services. Payment terms are established between patients and healthcare providers. Healthting may charge platform fees or subscription fees as communicated to users.

10.2 Payment Processing

Payments are processed through third-party payment processors. You agree to comply with the terms of service of these payment processors.

10.3 Refunds

Refund policies are determined by healthcare providers. Platform fees are generally non-refundable unless required by law.

11. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our privacy practices as described in the Privacy Policy.

12. Intellectual Property

12.1 Platform Ownership

The Service, including its design, features, functionality, and content (excluding user-generated content), is owned by Healthting and is protected by copyright, trademark, and other intellectual property laws.

12.2 User Content

You retain ownership of content you post on the Platform. By posting content, you grant Healthting a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the Service.

12.3 Trademarks

"Healthting" and associated logos are trademarks of Healthting. You may not use these trademarks without our prior written permission.

13. User Content and Conduct

You are solely responsible for your content and conduct on the Platform. You represent and warrant that:

  • You own or have the necessary rights to post your content
  • Your content does not violate any third-party rights
  • Your content does not violate any laws or regulations
  • Your content is accurate and not misleading

We reserve the right to remove any content that violates these Terms or is otherwise objectionable.

14. Communications

By using the Service, you consent to receive electronic communications from us, including emails, notifications, and messages through the Platform. You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

15. Termination

15.1 Termination by User

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

15.2 Termination by Healthting

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms or engaging in conduct that we deem harmful to the Platform or other users.

15.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including ownership, warranty disclaimers, and limitations of liability.

16. Disclaimers

DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

HEALTHTING DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

17. Limitation of Liability

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHTING AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

18. Indemnification

You agree to indemnify, defend, and hold harmless Healthting and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your conduct in connection with the Service
  • Medical services provided by healthcare providers (for healthcare provider users)

19. Dispute Resolution

19.1 Informal Resolution

In the event of any dispute, you agree to first contact us to attempt to resolve the dispute informally.

19.2 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

19.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in a class action or class-wide arbitration.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Healthting operates, without regard to its conflict of law provisions.

21. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

22. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Healthting regarding the Service and supersede all prior agreements and understandings.
